Terms of Service

These Terms of Service ("Terms") govern your access to and use of TokenRoc, an API gateway that provides unified access to third-party artificial intelligence models. TokenRoc is operated by Shenzhen Ruike Fulai Technology Co., Ltd. (深圳市瑞科福来科技有限公司) ("TokenRoc", "we", "us").

By creating an account, purchasing credits, or making any API request, you agree to these Terms. If you do not agree, do not use the service.

01The service

TokenRoc provides a single API endpoint that routes requests to AI models operated by third parties, including but not limited to OpenAI, Anthropic, Google, DeepSeek and Alibaba Cloud. We do not develop or own these models.

Because we act as a gateway, model availability, capabilities, output quality and response times depend on the upstream provider. We may add, change or remove supported models at any time.

02Eligibility and accounts

You must be at least 18 years old, or the age of majority in your jurisdiction, whichever is higher.
You must provide accurate registration information and keep it current.
You are responsible for all activity under your account and for keeping your API keys confidential.
Notify us immediately at the address in Section 11 if you believe your API key has been exposed.

Anyone holding your API key can spend your credit balance. Treat it as you would a password.

03Credits and payment

TokenRoc operates on prepaid credits. You purchase credits in advance and they are consumed as you make API requests, priced per token according to the model used.

Credits do not expire. Your balance remains available for as long as your account is active and in good standing.
Prices are published at api.tokenroc.com/pricing and may change. Changes do not affect credits already consumed.
Credits carry no cash value, cannot be transferred between accounts, and cannot be exchanged for anything other than API usage.
Refunds are governed by our Refund Policy.

Payments are processed by third-party payment providers. We do not store your full card details. Cryptocurrency payments, where offered, are accepted only in the specific asset and on the specific network stated at checkout. Sending funds on any other network will result in permanent loss, and we cannot recover them.

04Acceptable use

Your use of TokenRoc must comply with these Terms and with the usage policies of the upstream model provider serving your request. Upstream restrictions apply to you directly, and are not waived by using our gateway.

You may not use the service to:

Break any applicable law, regulation or sanctions regime.
Generate content that sexually exploits or endangers children. This results in immediate, permanent termination and may be reported to authorities.
Produce malware, exploits, or material intended to compromise systems or networks.
Develop chemical, biological, radiological or nuclear weapons, or other weapons capable of mass casualties.
Harass, threaten, defame or impersonate any person, or generate non-consensual intimate imagery.
Run coordinated disinformation, spam, or fraudulent operations.
Attempt to reverse-engineer, extract or reproduce the weights of any underlying model.
Resell or redistribute API access in a way that conceals from end users that outputs are AI-generated, where disclosure is legally required.
Circumvent rate limits, quotas, or safety filters.

If you provide generative AI services to the public using TokenRoc, you are responsible for meeting the regulatory obligations that apply in your own jurisdiction, which may include registration, content moderation, user verification, record-keeping and tax obligations.

05Your content

You keep ownership of the inputs you send and, to the extent permitted by law and by the upstream provider's terms, of the outputs you receive.

You grant us a limited licence to transmit, process and temporarily store your inputs and outputs solely to operate the service, meet legal obligations and investigate abuse. We do not use your inputs or outputs to train models.

AI outputs may be inaccurate, incomplete or offensive. You are responsible for reviewing outputs before relying on them, and for any consequences of their use. Do not rely on outputs for medical, legal, financial or safety-critical decisions without qualified human review.

06Suspension and termination

We may suspend or terminate your account, with or without notice, if you breach these Terms, if we are required to do so by law or by an upstream provider, or if we reasonably suspect fraudulent or abusive activity.

If we terminate your account for a breach of these Terms, any remaining credit balance may be forfeited. If we terminate for any other reason, or if we discontinue the service entirely, we will refund your unused balance in accordance with the Refund Policy.

You may close your account at any time by contacting us.

07Availability

We provide the service on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free operation. Maintenance, upstream provider outages, network conditions and events outside our control may affect availability.

08Disclaimers

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding the accuracy or reliability of model outputs.

09Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunity, arising from your use of the service.

Our total aggregate liability arising out of or relating to these Terms is limited to the amount you paid us in the three months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, or for fraud.

10Changes to these Terms

We may update these Terms. Material changes will be announced on this page with a revised "last updated" date, and where practical by email. Continuing to use the service after changes take effect means you accept them.

11Governing law and contact

These Terms are governed by the laws of the People's Republic of China, without regard to conflict of law principles. Disputes are subject to the exclusive jurisdiction of the competent courts in Shenzhen, People's Republic of China.
